These Partner Access Terms are between Gilded Phoenix Thermal Solutions LLC, a Florida limited liability company ("GPTS"), and the person who accepts them and the company they represent ("you"). You accept them by ticking the agreement box and typing your name on the Partner Access form.
Partner Access, and anything a GPTS representative shares with you, may include information that is not public: pricing, quotes, discounts, proposals, pilot and assessment results, test data, drawings, calculations, product specifications, installation methods, and the identity of customers, suppliers and partners ("Confidential Information"). Some of it belongs to Greentek Cold Chain System Corporation ("Greentek"). Information Greentek publishes on its own public website is not Confidential Information.
You will use Confidential Information only to evaluate and buy products and services through GPTS. You will not share it with anyone outside your company except your advisers who need it and keep it confidential. You will protect it with reasonable care, and return or delete it when asked. These duties last five years, and indefinitely for trade secrets.
Any price below published retail price that GPTS offers you is confidential. You will not tell anyone about it or use it in a negotiation with anyone else. A separate signed confidentiality agreement may be required before discounted pricing is shared.
For twenty-four months after your last use of Partner Access, you will not bypass GPTS to obtain from Greentek, or from any installer, supplier or partner introduced by GPTS, the products, pricing or services GPTS has proposed or quoted to you, and you will not use Confidential Information to divert business from GPTS. If you do, you will pay GPTS the commission or margin it would reasonably have earned.
Partner Access is free and does not commit either side to any purchase. Information is provided as is. Performance figures are reported by Greentek and are subject to application. Only signed quotes and orders create obligations.
The email, text and phone consents on the form are separate from these terms and are optional. You can withdraw them at any time: reply STOP to texts, unsubscribe from emails, or ask us not to call.
A breach may cause harm that money cannot fix, so GPTS may seek an injunction. Florida law governs these terms, and the courts serving Volusia County, Florida have jurisdiction. The prevailing party may recover reasonable attorneys’ fees. If any part is unenforceable, the rest still applies.
